Grammarly is excited to offer a remote-first hybrid working model. Team members work primarily remotely in the United States, Canada, Ukraine, Germany, Poland, or Portugal. Certain roles have specific location requirements to facilitate collaboration at a particular Grammarly hub.

All roles have an in-person component: Conditions permitting, teams meet 2–4 weeks every quarter at one of Grammarly’s hubs in San Francisco, Kyiv, New York, Vancouver, and Berlin, or in a workspace in Kraków. This flexible approach gives team members the best of both worlds: plenty of focus time along with in-person collaboration that fosters trust and unlocks creativity.

Grammarly team members in this role must be based in the United States, and they must be able to collaborate in person 2 weeks per quarter, traveling if necessary to the hub(s) where the team is based.

To achieve our ambitious goals, we’re looking for a Commercial Counsel to join our Legal team and help build out a world-class commercial function at Grammarly. This Commercial Counsel will work closely with our Sales, Customer Success, Revenue Operations, Compliance, Support, and Privacy teams, including on meaningful projects to set up Grammarly’s B2B business for continued success across all channels. As a foundational member of the Grammarly Legal team, you will also help develop the culture of the Legal team by exemplifying care for your craft, care for others, and a commitment to finding solutions to difficult questions.

Your impact

As Commercial Counsel, you will leverage your experience and expertise to counsel and collaborate cross-functionally with teams at Grammarly, all while developing a diverse set of skills and growing the specialized support provided by the Grammarly Legal team. You will negotiate commercial agreements that power our daily operations and are critical to our growth, all while protecting Grammarly long-term by managing agreements and practices that ensure compliance with company policies and risk tolerance.

  • Within your first 30 days, you will onboard to the Grammarly Legal team and focus on understanding our legal function and our B2B business. You will be involved in solving interesting legal asks and negotiating at least one complex Grammarly contract.
  • By month three, you will have developed good relationships with the leaders in various Grammarly B2B teams. You will balance and prioritize the strategic projects you are leading and the contracts you’re negotiating.
  • By month six, you will be able to counsel and negotiate across all segments and channels of B2B, supporting other legal team members on their own negotiations. You will have started to develop new playbooks, build upon existing playbooks, and improve form agreements to make contracting more efficient, especially for negotiations with enterprise customers and regulated industries.
  • By year one, you will be training an analyst to assist you on commercial matters and managing crucial legal infrastructure projects cross-functionally. You will also be responsible for proactively supporting at least one segment of the business.
  • By year two, you are a resident expert on commercial Sales negotiations and all of our B2B lines of business.

We’re looking for someone who

  • Embodies our EAGER values—is ethical, adaptable, gritty, empathetic, and remarkable.
  • Is able to collaborate in person 2 weeks per quarter, traveling if necessary to the hub where the team is based.
  • Has the ability to manage multiple projects, stakeholders, priorities, and deadlines.
  • Can lead a deal, negotiate effectively, and has ideas about optimal negotiation.
  • Is comfortable working with cross-functional teams and advising senior leaders on risk mitigation to ensure we take the optimal path.
  • Communicates clearly and empathetically both face-to-face and in writing.
  • Has 3+ years of experience in a demanding and time-sensitive legal role that involved advising high-growth companies on commercial matters. In-house and SaaS experience is a plus.
  • Holds a JD (required) and has been admitted to the bar, with a license to practice law in at least one US state.

Grammarly takes a market-based approach to compensation, which means base pay may vary depending on your location. Our US and Canada locations are categorized into compensation zones based on each geographic region’s cost of labor index. Base pay may vary considerably depending on job-related knowledge, skills, and experience. The expected salary ranges for this position are outlined below by compensation zone and may be modified in the future.

United States:

Zone 1: $195,000 – $233,000/year (USD)

Zone 2: $176,000 – $210,000/year (USD)

Zone 3: $166,000 – $198,000/year (USD)

Zone 4: $156,000 – $186,000/year (USD)
