Element has an opportunity for an Associate Legal Counsel to provide legal support and assistance as directed by the General Counsel for Element’s laboratories and business in the Americas. This role is vital to the staffing plan for the Office of the General Counsel, Americas. The ideal candidate will have strong commercial contract experience with 5+ years of experience actively practicing law, including 3 or more years of experience with a law firm.

Responsibilities

  • Draft, review and negotiate the terms of contracts with customers and suppliers including contracts based on customer templates / standard terms
  • Provide training to commercial teams and assist with policy development regarding review and negotiation of customer contracts.
  • Support the review and negotiation of real estate leases for facilities in the Americas
  • Provide document collection and responses to subpoenas and formal document requests, as well as assist outside counsel with matters in litigation
  • Represent the Company in regulatory and administrative proceedings at the local and State levels
  • Assist engineers and technicians retained as an expert witness for clients
  • Work on special projects to provide legal guidance / directions as to documents and activities involved
  • Manage registrations required at the Federal level and support licensing / permitting requirements for trade, export, and quality compliance
  • Oversee Federal, State and Local government agencies registrations and monitor trading and commercial authority
  • Assist with ensuring Data Privacy Protection, pursuant to all applicable statutory and regulatory requirements
  • Assist and support M&A transactions as assigned
  • Provide employment and labor law guidance for Element’s Human Resources Group

Skills / Qualifications

  • Juris Doctor Degree from a recognized educational institution and admission to the Bar of at least one State of the USA
  • Completion of the continuing legal education requirements of the primary State where Bar membership is held
  • 5+ years of experience actively practicing law, including 3 or more years of experience with a law firm
  • Must have extensive prior commercial contracts experience
  • Government contracting experience preferred
  • Must have extensive prior employment and labor law experience Must have been admitted to and is currently a member of
  • State Bar and hold a license or the equivalent thereof to practice law in at least one State
  • Must satisfy the applicable requirements of the State in which licensed to practice law
  • Ability to learn and develop skills in a several areas of practice
  • Travel as needed
